Terms of Service

These terms govern your use of the Smoothquill notary booking marketplace. By using the marketplace as a signer or as a notary, you agree to these terms. Please read them alongside our Privacy Policy.

What Smoothquill is: Smoothquill is a booking marketplace that connects people who need a document notarized ("signers") with independent notaries public. Smoothquill is not a notary, does not perform notarizations, and does not provide legal advice. The notarial act is performed solely by the independent notary you book, under the laws of their commissioning state.

1. The service

Smoothquill lets signers find and book independent mobile and remote online notaries, and lets notaries list their availability, service area, and rates. We facilitate the booking and payment; the notarization itself is a service the notary provides directly to the signer.

Our fee model is designed to be transparent:

Payments are processed by Stripe. By booking, you authorize the applicable charges.

3. Cancellations and changes

You may cancel or reschedule a booking subject to the cancellation terms shown at the time of booking. As a general rule, cancellations made more than 24 hours before the scheduled appointment are eligible for a full refund of the booking fee; cancellations within 24 hours, or a no-show at the appointment, may forfeit the notary's travel fee in whole or in part, because the notary has reserved time and may have traveled to you. The specific terms that apply to your booking are the ones displayed to you before you confirm.

Notaries are independent contractors, not employees or agents of Smoothquill. Nothing here creates an employment, partnership, or joint-venture relationship.

6. Independent professional relationship

The notarial act is a direct relationship between the signer and the notary. Smoothquill is not responsible for the acts, omissions, quality, timing, or legality of any notarization, and does not guarantee that any particular notary will be available. Any dispute about a notarization is between the signer and the notary, though we will reasonably assist where we can.

7. Founding notary offer

Where Smoothquill offers a founding cohort a reduced booking fee, that offer applies on the terms stated at the time it is made and, once granted through verification, is honored for that notary. Offer availability may be limited.

The marketplace is provided "as is" and "as available." To the fullest extent permitted by law, Smoothquill disclaims all warranties, express or implied. We do not warrant that the service will be uninterrupted, error-free, or that a notary will meet your specific needs.

10. Limitation of liability

To the fullest extent permitted by law, Smoothquill LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for the acts or omissions of independent notaries. To the extent Smoothquill is found liable for any matter arising out of or relating to the service, its total aggregate liability will not exceed the total booking fees you paid to Smoothquill in the three months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Smoothquill LLC from claims arising out of your use of the marketplace, your bookings, or your breach of these terms.

12. Changes to these terms

We may update these terms. The "Last updated" date reflects the current version; continued use after changes means you accept them.

13. Governing law and disputes

These terms are governed by the laws of the State of Idaho, without regard to conflict-of-laws rules. You agree that any dispute arising out of or relating to these terms or the service will be resolved in the state or federal courts located in Idaho, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive relief where appropriate.
